Seller Readiness
When we first connect, we spend time understanding your goals in selling a company and give you an idea of what to expect during the transaction process.
In the first three weeks, we’ll prepare a Calculation of Value Report so you understand the value of your company by the factors that drive it upward.
Now is not always the right time to sell, and we will be candid about whether the sale of your business will achieve your exit strategy. Only about a third of sellers are really ready to sell and many opt to delay sale to improve their value by 10% to 20%.

02(1 Month)
Buyer Identification
If you decide to move forward, you’ll upload documents for the due diligence phase of negotiations, and we’ll roll up our sleeves to create documents that anchor our process in a strategy that’s set up to achieve your goals. These documents help us build and engage a list of buyer prospects. When the fit is promising, we will invite them forward to the next stage of the vetting process.

When we get a signed Letter of Intent, the hard work begins as lawyers and accountants get to work and we work alongside you all the way to closing. Up to the final signature, we keep an eye out to make sure each side will love the deal a year after it’s done.

Sell-side advisory means we work on your behalf as the seller, guiding you through every stage of the process from preparation to close. We help you get the business ready, position it correctly, find the right buyer, and negotiate a deal that reflects what you have actually built.
Readiness looks different for every owner. That is why we start with a Calculation of Value and a readiness assessment before anything else. If the timing is right, we move forward. If there is work to do first, we will tell you that too.
Most M&A advisors work across every industry. We work exclusively in the IT services and MSP space. That means we know the buyers, we understand the metrics that matter to them, and we know how to position your business in a way that resonates in this specific market. You are not paying us to learn your industry. We already know it.
The engagement is built around two primary phases.
Readiness and Positioning: We start with a Calculation of Value for your firm and, where appropriate, engage an independent third party to conduct a Quality of Earnings analysis that prepares your financials for buyer scrutiny. From there, we develop your organizational summary, confidential information memorandum, and full financial package to position your company for sale. We also build out an ideal buyer persona and a targeted prospect list based on what we learn during discovery.
Buyer Pursuit through Close: Once you are positioned and ready, we begin outreach. We manage all buyer communications, facilitate introductory meetings, support negotiations, and help you evaluate offers as they come in. After a Letter of Intent is signed, we manage the full due diligence process, coordinate with legal, tax, and Quality of Earnings providers, support the negotiation of definitive agreements, and facilitate closing, including final documentation and funds flow.
A Quality of Earnings (QoE) analysis is an independent review of your financials conducted by a third-party provider. It is designed to give buyers confidence in the numbers they are underwriting. For most transactions in today’s market, buyers expect to see one. We will assess during the readiness phase whether a QoE makes sense for your deal. If it does, we coordinate the engagement on your behalf.
We build the full package: an organizational summary that tells your story, a confidential information memorandum (CIM) that gives serious buyers the detail they need, and a financial package that presents your numbers clearly and compellingly. We also develop an introductory presentation for buyer meetings. The goal is to make sure every serious buyer sees your business at its best, on paper and in person.
Yes. Standard transaction legal fees are covered by iTValuations and included in the scope of the engagement. We coordinate legal representation through our preferred M&A-focused legal partners. If you have non-standard legal needs or want to direct services outside the typical scope of a sell-side transaction, those would be discussed and approved separately.
Yes. Tax consulting is included through iT Tax Advisors, our in-house tax advisory practice. This covers transaction-related tax considerations such as deal structure, capital gains versus ordinary income treatment, purchase price allocation, and related planning. It does not include the preparation or filing of tax returns. Having tax strategy built into the advisory process, rather than bolted on at the end, is one of the things that sets our approach apart.
Carefully. All due diligence materials are collected and maintained in a secure portal. Buyers sign Confidentiality Agreements before receiving any sensitive information about your business. We manage the flow of information deliberately so that the right details get to the right people at the right time, and not before.
If the Buyer Identification Phase does not produce a viable prospect within a reasonable period, we will turn off the retainer. We are not going to keep the engagement running indefinitely if the market is not responding. Our goal is a successful transaction, and we will be straightforward with you if the conditions change.
We handle the full advisory process: valuation, financial packaging, buyer outreach, negotiation support, due diligence management, legal coordination, tax consulting, and closing facilitation. Your job is to run your business, keep us informed, and make the decisions that only you can make. We are your advisor throughout, not a replacement for your judgment.
