Internetwork Experts Corp (IEC)

How our valuation and sell side advisory services helped IEC develop and implement an exit strategy, which enabled them to sell their MSP business in six months.

Internetwork Experts Corp (IEC) is a professional IT services provider, network engineering, and design firm founded in 2001. They began providing Managed Services and developed a proprietary disaster recovery solution in 2009. Their team consists of high ranking, certified engineers with an average of 15 years of industry and network experience. They serve more than 100 organizations across the country, from small businesses to Fortune 500 companies. In 2021, MyTech Partners acquired IEC.

Originally, IEC was looking for someone who could give them more insight into how they could properly value their business. They wanted to understand what levers they needed to pull on in order to get the valuation we wanted. Eventually, this process led to the sale of their business. They found iTV via their peer group.

How we did it:

We quickly worked on putting together the valuation for IEC. Part of the process includes a deep dive to best understand the current state of their business. We collected all the data and information and analyzed the data.

Based on our analysis, we gave them a roadmap on which key value drivers to engage in order to get the business value they were looking for. IEC used this information to put together their exit strategy and how to position their company.

At the time, we had a buyer looking to acquire another business. IEC fit the seller profile the buyer was looking for. We approached both parties to engage in preliminary discussions. These conversations led to further advisory services and a full-fledged, transaction process. CRSA Technologies

How our valuation and sell side process helped merge CRSA Technologies and Uprite Services in mutually beneficial ways.

CRSA Technologies began as an accounting software sales and consulting firm (Automated Accounting Alliance) but underwent a number of service transformations over the years. They evolved into a computer hardware and repair firm after acquiring Computer Rescue becoming the largest hardware dealer in San Antonio, TX. In order to further serve this clientele, CRSA expanded to include managed IT Services. Next, they acquired Kingdom Communications and added VoIP options to their offerings. In the fall of 2020, they were acquired by Uprite Services.

CRSA was already entertaining three offers along a merger and acquisitions track when they came across iTV at the IT Nation conference. They engaged in further talks with iTV after the conference. It wasn’t long before they realized one of their potential buyers was already being represented by iTV.

How we did it:

We guided them through the valuation and sell side process. Five months into the process, COVID hit, which delayed the sale of the business.

However, we still continued to monitor and manage the process until we could establish stable footing. After the economy and markets were into recovery, we fully re-engaged the process.

In addition, we took the time to answer a lot of their questions especially around the state of their accounting. The buyer wanted some changes made and we helped CRSA walk through them.

Lastly, we made sure to guide them expertly through the due diligence, negotiations, post-merger integration planning and the closing. This is one of the most tedious but critical parts of the transaction process. We work hard to ensure that everyone understands and provides what is required. This is important to foster transparency, trust and confidence that ultimately leads to successful outcomes.

Dega Systems

How our valuation and partner transfer advisory services helped Dega Systems transition out one of their founders and leaders so they could both move on to their next life stage.

Dega Systems provides stress free managed IT Services to both nonprofits and for–profit companies alike. They’re passionate about helping those whose job and mission is to change the world for the better. They’re a Minority/Women-owned Business Enterprise (MWBE) certified and to serve the New York/New Jersey region and beyond.

After 20 years, Dega Systems was facing a major leadership change and transition. One of the founders was ready to move on to other work projects. They learned of iTV via their peer group and reached out to engage them for a valuation and partner transfer advisory services.

How we did it:

We engaged them in the partner transfer advisory services process, which begins with a valuation. After the valuation, they had the information they needed to decide whether to move forward to phase II of the transfer.

After reviewing their valuation together, we drafted a statement of intent. Then we walked them through the due diligence and negotiations process to make sure the transfer was mutually beneficial.
